Uniper rebuffed a previous Fortum proposal for an acquisition, so if Fortum reaches agreement with EON, it plans to make a takeover offer of 22 euros a share Eon had agreed to sell its stake to Fortum last September. The deal included a series of punitive conditions should the German group decide not to go through with the sale, and which effectively Fortum, Finnish power group, moved to take control of the Finland operation of Germany’s Eon on Monday. The two-part move will cost Fortum some €647m ($849m) and boost gearing by 8 percentage Fortum’s approach comes a year after Eon split itself in two by spinning off a 53 per cent stake in its conventional power business as a new listed company Uniper. Fortum Corporation and E.ON SE have today signed a transaction agreement regarding E.ON’s 46.65% shareholding in Uniper SE. Pursuant to this agreement, Fortum, through a wholly owned subsidiary, has announced its intention to launch a voluntary public takeover offer ("Offer") in accordance with §10 of the German Securities Acquisition and Takeover Act (attached).
